In today’s innovation-driven economy, intellectual property is often among a company’s most valuable assets. Whether pursuing patent protection, evaluating an acquisition, making an investment, entering a strategic partnership, or licensing technology, patent assets can significantly influence transaction value and competitive advantage.

However, not all patents provide the protection, exclusivity, or commercial value they appear to offer. Ownership defects, undisclosed licenses, validity challenges, enforceability issues, and regulatory complications can substantially reduce the value of a patent portfolio—or eliminate it altogether.

Patent due diligence is the process of identifying and assessing these risks before critical business decisions are made. Effective due diligence helps organizations understand what they are acquiring, determine whether the patent assets will withstand scrutiny, and ensure that transaction terms appropriately reflect the risks involved.

The purpose of this presentation is to provide a practical understanding of U.S. patent due diligence, the key risks that affect patent value, and the strategies used to evaluate and mitigate those risks.
