论文摘要
在中国深化医改的大背景下,国家相继出台了一系列的调控政策,使得医疗器械行业掀起了并购的狂潮。规模小、实力弱的中小型器件分销公司纷纷退场。强大的大型医疗器械流通企业抢抓机遇,迅速扩大兼并重组,其中以国企、央企为首的大型企业集团兼并重组最为突兀。如此大规模的医药企业并购能否实现企业做大做强、快速发展的目标?某咨询公司进行的一项调查显示,企业文化整合是影响并购结果的第三大因素,而文化冲突则是影响并购失败的第一大因素。大量的实践表明,并购双方企业能否有效地融合两种完全不同的文化,重建一种能够反映双方企业特点的新文化,乃至并购的成败,取决于并购后所采取的企业战略。

The effects of perceived cultural conflicts on employee retention after mergers and acquisition
Under the background of China deepening medical reform, the state has introduced a series of control policies, which makes the medical device industry set off a frenzy of mergers and acquisitions. Small and medium-sized device distribution companies with small scale and weak strength have closed. Large and powerful large medical device distribution enterprises seize the opportunity to rapidly expand mergers and acquisitions, among which the mergers and acquisitions of large enterprise groups led by state-owned enterprises and central enterprises are the most abrupt. Can such a large-scale merger and acquisition of pharmaceutical enterprises achieve the goal of bigger and stronger enterprises and rapid development? According to a survey conducted consulting firm, corporate cultural integration is the third major factor affecting the outcome of M&A, while culture conflict is the first factor affecting the failure of M&A. Many practices showed that whether the two sides of merger and acquisition enterprises can effectively integrate two completely different cultures and rebuild a new culture that can reflect the characteristics of the enterprise and the success or failure of a business merger and acquisition depends on the corporate strategy adopted following the merger.
